1. Electronic Record & Legal Status

This document is an electronic record under the Information Technology Act, 2000 and the applicable rules thereunder. It is generated electronically and does not require any physical or digital signature.

These Terms & Conditions are published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, to ensure lawful, transparent and safe access to www.commoditysamachar.com (“Website”) and associated digital platforms.

By accessing this Website or availing our research services, you acknowledge that you have read, understood and agreed to be bound by these Terms & Conditions (“Terms”).

2. Definitions

  • "Company", "We", "Us", "Our" refers to Commodity Samachar Securities Private Limited.

  • "Client", "You", "User" refers to any person accessing the Website or availing our research services.

  • "Platform" refers to www.commoditysamachar.com and all associated mobile sites, digital media, communication channels or tools operated by the Company.

  • "Services" refers strictly to SEBI-permitted Research Analyst services.

3. Regulatory Status

Commodity Samachar Securities Private Limited is:

  • Registered under SEBI (Research Analyst) Regulations, 2014,

  • SEBI Registration No.: INH000017781,

  • BSE Enlistment No.: 6321.

Registration does not guarantee performance or returns.

4. Scope of Services

We provide services strictly permitted under SEBI RA Regulations, including:

  • Research reports

  • Technical and fundamental analysis

  • Market commentary

  • Educational insights

  • Model studies (non-binding)

We DO NOT:

  • Execute trades

  • Provide PMS

  • Offer assured/guaranteed/fixed returns

  • Manage client funds or accounts

  • Take trading credentials, OTPs or POA

  • Provide execution, brokerage or leverage services

All research is non-binding, and the client is solely responsible for investment decisions.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete KYC information

  • Exercise independent judgement before acting on recommendations

  • Pay fees only through approved banking channels

  • Not share trading credentials with anyone, including the Company and its employees

  • Read all disclaimers and risk warnings carefully

  • Keep contact details updated at all times

6. Consent & Acceptance of Terms

By using the Website or subscribing to any research service, the Client confirms:

  • Acceptance of these Terms

  • Understanding that research carries market risk

  • No guaranteed returns are promised

  • Consent for data processing under DPDP Act (See Section 14)

7. Consideration & Payment

  • Fees shall be charged strictly as per SEBI-prescribed limits.

  • Maximum fee for Individuals & HUFs: ₹1,51,000 per family per year.

  • Advance fee shall not exceed 12 months per transaction.

  • Payments must be made only to the Company’s official bank account.

  • Cash or third-party payments are strictly prohibited.

  • CeFCoM (Centralised Fee Collection Mechanism) may be offered when applicable.

8. Risk Factors

  • Investments in the securities/commodity markets are subject to market risk, including potential loss of principal.

  • Past performance is not indicative of future results.

  • Recommendations do not assure returns and may differ based on market conditions.

  • The Client is solely liable for decisions taken based on research reports.

9. Intellectual Property Rights

All content available on the Website—including text, reports, charts, graphics, data, tools, images, videos, logos, and proprietary analysis—is the exclusive intellectual property of Commodity Samachar Securities Pvt. Ltd.

The Client shall NOT:

  • Copy, reproduce, republish, distribute, transmit or modify website content

  • Sell, license, mirror or commercially exploit any content

  • Use content for unauthorized forwarding, redistribution or resale

Any unauthorized use may result in legal action under the Copyright Act, 1957, and Information Technology Act, 2000.

10. Third-Party Links & External Content

The Platform may contain links to third-party websites for informational purposes.

  • We do not endorse or control external websites.

  • We are not liable for the accuracy, security or content of third-party sites.

  • The Client accesses such links at their sole discretion and risk.

11. Conflict of Interest Disclosures

We will disclose, wherever applicable:

  • Any financial interest in recommended securities

  • Any compensation received from subject companies

  • Use of AI-assisted tools (only as analytical support)

  • Any material conflict of interest at the time of publication

Mandatory disclosures will accompany each report in accordance with SEBI RA Regulations.

12. Termination & Suspension

The Company may suspend or terminate the Client’s service:

  • In case of violation of these Terms

  • Misuse of content or intellectual property

  • Misrepresentation or fraudulent activity

  • On SEBI direction or regulatory grounds

Refunds, where applicable, will follow the SEBI-mandated pro-rata basis.

13. Limitation of Liability

Commodity Samachar shall not be liable for:

  • Losses arising from investment decisions

  • Trading losses due to market volatility

  • Errors or delays from third-party systems, exchanges or data providers

  • Unauthorized use of content

  • Any indirect, consequential or incidental damages

The Client acknowledges full responsibility for investment decisions made.

14. Data Protection, Privacy & DPDP Act Compliance

In compliance with the Digital Personal Data Protection Act, 2023 and Rules 2025:

We collect and process data such as:

  • Name, contact details, KYC data

  • WhatsApp/chat/email communication

  • Payment details (excluding card data)

  • Technical logs (IP address, device data)

We ensure:

  • Lawful and consent-based data processing

  • Secure storage & restricted access

  • Mandatory data retention under SEBI (5–8 years)

  • Data deletion upon completion of purpose (as legally allowed)

15. Grievance Redressal & Dispute Resolution

These Terms are governed by the laws of India.
